Introduction

This Terms of Use Agreement (“Agreement”) sets forth the legally binding terms for your use of the Zoofer Services. By using the Zoofer Services, you agree to be bound by this Agreement, whether you are a “Visitor” (which means that you simply browse the Zoofer Website) or you are a “Member” (which means that you have registered with Zoofer.com). The term “User” refers to a Visitor or a Member. You are only authorized to use the Zoofer Services (regardless of whether your access or use is intended) if you agree to abide by all applicable laws and to this Agreement. Please read this Agreement carefully and save it. If you do not agree with it, you should leave the Zoofer Website and discontinue use of the Zoofer Services immediately. If you wish to become a Member, communicate with other Members and make use of the Zoofer Services, you must read this Agreement and indicate your acceptance during the Registration process.

This Agreement includes Zoofer.com’s policy for acceptable use of the Zoofer Services and Content posted on the Zoofer Website, your rights, obligations and restrictions regarding your use of the Zoofer Services and Zoofer.com’s Privacy Policy. In order to participate in certain Zoofer Services, you may be notified that you are required to download software or content and/or agree to additional terms and conditions. Unless otherwise provided by the additional terms and conditions applicable to the Zoofer Services in which you choose to participate, those additional terms are hereby incorporated into this Agreement. Zoofer.com may modify this Agreement from time to time and such modification shall be effective upon posting by Zoofer.com on the Zoofer Website. You agree to be bound to any changes to this Agreement when you use the Zoofer Services after any such modification is posted. It is therefore important that you review this Agreement regularly to ensure you are updated as to any changes.

We expect all bloggers who participate in Zoofer to follow our policies for all posts. Please note that we may change our policies at any time, and it is your responsibility to keep up-to-date with and adhere to our posted policies. Zoofer accounts are not transferable, assignable or resalable under any circumstances.

1. Eligibility. Use of and Membership in the Zoofer Services is void where prohibited. By using the Zoofer Services, you represent and warrant that (a) all registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; (c) you are 14 years of age or older; and (d) your use of the Zoofer Services does not violate any applicable law or regulation. Your profile may be deleted and your Membership may be terminated without warning, if we believe that you are under 14 years of age.

2. Term. This Agreement shall remain in full force and effect while you
use the Zoofer Services or are a Member. You may terminate your Membership at
any time, for any reason, by following the instructions on the Member’s
Account Settings page. Zoofer.com may terminate your Membership at any time,
without warning. Even after Membership is terminated, this Agreement will
remain in effect.

3. Fees. You acknowledge that Zoofer.com reserves the right to charge for
the Zoofer Services and to change its fees from time to time in its
discretion. If Zoofer.com terminates your Membership because you have breached
the Agreement, you shall not be entitled to the refund of any unused portion
of subscription fees.

4. Password. When you sign up to become a Member, you will also be asked
to choose a password. You are entirely responsible for maintaining the
confidentiality of your password. You agree not to use the account, username,
or password of another Member at any time or to disclose your password to any
third party. You agree to notify Zoofer.com immediately if you suspect any
unauthorized use of your account or access to your password. You are solely
responsible for any and all use of your account.

5. Ad interference. Covering or obscuring the banner advertisements on any Zoofer page, yours or otherwise, via HTML/CSS or any other means is prohibited.

6. Termination By Site. Zoofer provides free blog hosting and maintains the right to cancel any member account without reason. Zoofer also reserves the right to change the TOS at any time. Zoofer has the right to delete your blog without a reason and/or:

• If we receive any complaint about your blog that doesn’t follow our T.O.S. (terms of service)
• You violate any Zoofer terms of service
• You don´t login for 60 days
• Your blog doesn’t have any recent posts for 60 days

7. Language. Your blog must be primarily in the English language. There are no exceptions for individual bloggers, blogs, or posts.

8. Exclusions. Your blog may not include:

• Excessive profanity
• Violence, racial intolerance, or advocate against any individual, group, or organization
• Stalking or harassing another person
• Hacking/cracking content
• Warez or Software Piracy
• Music Piracy Related
• Posting or use of any copyrighted material including MP3s, video, images or any other form of copyrighted materials
• Illicit drugs and drug paraphernalia
• Pornography, adult, or mature content
• Gambling or casino-related content
• Any other content that promotes illegal activity or infringes on the legal rights of others
• Sales or promotion of certain weapons, such as firearms, ammunition, balisongs, butterfly knives, and brass knuckles
• Sales or promotion of beer or hard alcohol
• Sales or promotion of tobacco or tobacco-related products
• Sales or promotion of prescription drugs
• Posting material not suitable for minors
• Impersonate any person or entity including Zoofer
• nofollow or noindex tags – (Example: )

9. Registration. Bloggers must register with Zoofer before before posting blogs, audio, video, or any other form of media.

10. Original Content. Blogs must contain original content. Fake blogs or “SPLOGS” that are used to gain favor in search engines by optimizing keywords are 100% not allowed and will be deleted immediately.

11. Spamming. Any Zoofer member caught spamming will have their account deleted immediately. Zoofer will strictly enforce a 0% SPAM policy.

12. Software. Members caught using any form of automation software to inflate their traffic will have their accounts deleted immediately.

13. Malware. Any Zoofer member that installs any form of malicious software, trojans, worms, viruses or scripts will have their accounts deleted immediately and reported to the legal authorities.

15. Technical Liability. Zoofer cannot be held liable for any files that are lost from a hard drive failure, system crash, system maintenance or any other unforseeable occurences.

16. Revenue Disclaimer. Zoofer does not make any guarantees to how much revenue you will generate using our service and is understood that you may, in fact, not generate any revenues at all using our system.

17. Payout Withholding. Zoofer has the right to withhold or void any/all money accumulated using the Zoofer system in instances where we suspect wrong doing, system tampering or abuse, cheating or that breaks any TOS.

18. Customer Service. As a Zoofer member if you have any problem or are dissatisfaction with Zoofer your only option is to delete your account and cannot hold Zoofer liable under any circumstances because you are not happy with the service.

19. Zoofer has the right to ask for the identification of any member (where valid identification must be presented) to Zoofer in a timely fashion or else your account will be immediately deleted.

20. Zoofer has the right to stop or suspend the service at any time and cannot be held liable in the case it decides to no longer operate.

21. Member Disputes. You are solely responsible for your interactions with other Zoofer.com Members. Zoofer.com reserves the right, but has no obligation, to monitor disputes between you and other Members.

22. Copyright Policy. You may not post, modify, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information belonging to others without obtaining the prior written consent of the owner of such proprietary rights. It is the policy of Zoofer.com to terminate Membership privileges of any Member who repeatedly infringes the copyright rights of others upon receipt of proper notification to Zoofer.com by the copyright owner or the copyright owner’s legal agent. In order to avoid associations with copyright claims, no content should improperly include copyrighted material.

23. Content Ownership. ALL content provided by the user becomes the sole property of Zoofer, with all rights and freedom of usage this entails. Zoofer also has no responsibility to return any content or files in your account and the decision will be solely made by Zoofer whether or not to give access to your account information or materials.

24. Privacy. Use of the Zoofer Services is also governed by our Privacy Policy, which is incorporated into this Agreement by this reference.

25. Limitation on Liability. IN NO EVENT SHALL ZOOFER.COM BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ZOOFER.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, ZOOFER.COM’S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO ZOOFER.COM FOR THE ZOOFER SERVICES DURING THE TERM OF MEMBERSHIP.

26. Service Disputes. If there is any dispute about or involving the Zoofer Services, you agree that the dispute shall be governed by the laws of the State of Florida, USA, without regard to conflict of law provisions and you agree to exclusive personal jurisdiction and venue in the state and federal courts of the United States located in the State of Florida. Either Zoofer.com or you may demand that any dispute between Zoofer.com and you about or involving the Zoofer Services must be settled by arbitration, provided that the foregoing shall not prevent Zoofer.com from seeking injunctive relief in a court of competent jurisdiction.

27. Indemnity. You agree to indemnify and hold Zoofer.com, its subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your use of the Zoofer Services in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above and/or if any Content that you post on the Zoofer Website or through the Zoofer Services causes Zoofer.com to be liable to another.

28. Other. This Agreement is accepted upon your use of the Zoofer Website or any of the Zoofer Services and is further affirmed by you becoming a Member. This Agreement constitutes the entire agreement between you and Zoofer.com regarding the use of the Zoofer Services. The failure of Zoofer.com to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. The section titles in this Agreement are for convenience only and have no legal or contractual effect. Zoofer.com is a trademark of Zoofer, Inc. This Agreement operates to the fullest extent permissible by law. If any provision of this Agreement is unlawful, void or unenforceable, that provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.
